B’s GROUP LIMITED ("B’s GROUP") MEMBERSHIP RULES AND TERMS AND CONDITIONS

(referred to collectively as "Terms and Conditions")

 

 

PLEASE PRINT THESE TERMS AND CONDITIONS AND READ THEM CAREFULLY.

 

As a registered Member of B’s GROUP LIMITED (“B’s GROUP”), you agree to abide by these Terms and Conditions.

 

 

1. RULES

 

1.1 B’s GROUP is a group of bars and restaurants for Members to enjoy great beer, amazing food and relaxing atmosphere. Members’ behaviour is expected to be responsible. B’s GROUP will notify the Member in the event that the Membership application has been accepted.

 

1.2 Members are obliged to provide correct details when he/she apply for B’s GROUP Membership and failure to do so may invalidate his/her membership and any subsequent transaction. Member’s responsibility to provide accurate information is a continuing obligation and he/she must notify B’s GROUP in the event that any information provided by him/her changes.

 

1.3 B’s Group Membership is personal. Membership cards and any associated Member benefits are nontransferable and can only be used by the named Member(s). Members are responsible for ensuring that no one uses their Membership.

 

1.4 Access to and use of the Members’ section of the B’s GROUP website ("Site") is through a combination of user name and password and is reserved exclusively for Members. Member is solely responsible for maintaining the confidentiality of his/her user name and password and agree to notify B’s GROUP immediately if he/she believe that there has been any breach of security (e.g. the unauthorized use of the name and password).

 

1.5 Member agrees that he/she will only use the B’s GROUP Membership card for the purposes for which it is issued. Member must notify B’s GROUP immediately by e-mail at elginplace21@gmail.com if it is lost or stolen.

 

1.6 Member confirms that the information given by him/her when joining B’s GROUP is true and complete.

 

 

 

2. MEMBERSHIP CANCELLATIONS AND RENEWALS

 

2.1 Membership is valid for twelve consecutive months. No extensions will be given if the Member is unable to use the Membership at any stage during this time.

 

2.2 B’s GROUP reserves the absolute right to cancel or suspend the Membership (at its sole discretion).

 

2.3 Member may terminate the use of the B’s Beer Pass at any time by notifying B’s GROUP in writing accompanied by the return of the B’s Beer Pass.

 

2.4 B’s GROUP have the absolute discretion to terminate, suspend, cancel or impose conditions on the usage of the B’s Beer Pass at any time with or without prior notice and with or without case. Upon such termination or suspension or cancellation, Member shall immediately return the Beer Pass to B’s GROUP upon request.

 

2.5 Upon the termination, cancellation or suspension of the B’s Beer Pass for any reason, all B’s Beer Points and benefits accumulated under the Beer Pass shall be automatically cancelled with immediate effect unless a grace period is granted to the Member to utilize such B’s Beer Points. Any unutilized Beer Points after expiration of the grace period will be cancelled without further notice.

 

2.6 Without prejudice to the foregoing generality, B’s GROUP is entitled to immediately terminate the B’s Beer Pass without any prior notice to the Member if : (a) the Member breaches any of these terms and conditions, including but not limited to allowing third party to use the B’s Beer Pass; (b) the Member has used the B’s Beer Pass in violation of any of these terms and conditions, any policies, rules or regulations determined by B’s GROUP; (c) the Member deceased or becomes bankrupt; or (d) no transaction is recorded in respect of the B’s Beer Pass within 12 months from the issuance date of the Beer Pass or the date of the last transaction.

 

2.7 If the B’s GROUP Rewards Program is terminated : (a) the B’s Beer Pass will be cancelled upon expiration of the time frame set out in B's GROUP’s notice; (b) Member shall utilize his/her B’s Beer Points and/or benefits before the time frame set by B’s GROUP to avoid the same being forfeited without further notice and B’s GROUP shall not be liable for any value of the B’s Beer Points and/or benefits so forfeited.

 

2.8 We will issue the B’s GROUP Membership card and Membership documentation ("B’s Membership Pack") as soon as possible following collection of Member’s renewal Membership notification.

 

 

 

3. MEMBERSHIP BENEFITS

 

3.1 Member of B’s GROUP is entitled to the Membership benefits set out on the Site from time to time. The descriptions of all benefits displayed have been approved by the relevant benefit outlets.

 

3.2 Membership benefits set out on the Site are subject to availability and may change from time to time without notice.

 

3.3 B’s GROUP aims to ensure that Membership benefits remain available to Members at all times and are constantly adding new benefits to ensure that Members receive maximum use of their Membership. If any of the benefits become unavailable, we will do all we can to ensure that prior commitments are honored to the fullest extent possible.

 

3.4 All B’s Membership Card (“B’s Beer Pass”) offers (including discount and Bonus Point) are not valid under the followings:

  • 1 Jan, 14 Feb, Easter, Mother’s Day, Father’s Day, Thanksgiving Day, 24th, 25th & 31st Dec of the year

  • All party menu & special menu for all outlets & take away service

 

3.5 One Bonus Point (“Beer Point”) will be awarded upon every spending of HK$1 for attractive redemption (must present valid B’s Beer Pass)

Remark:

  • Membership of B’s Beer Pass will be valid for a year from the date of issuance

  • Must present valid B’s Beer Pass every time for discount and bonus points earning

  • Priority reservation and priority seating arrangement are not included in member's benefits

 

 

4. MEMBERSHIP BONUS POINT REDEPTION

 

4.1 Only B’s GROUP Beer Points accumulated up to and shown in the latest monthly statement of the Member will be redeemable. The latest statement will be shown in the website of B’s Group i.e. www.kingparrot.com ("Site") and such statement as set out in the Site shall be conclusive evidence of the total B’s GROUP Beer Points the Member can redeem. The Member is not entitled to dispute the credit or calculation of points awarded by B’s GROUP to the Member.

 

4.2 (a) B’s GROUP Beer Points accumulated under the B’s Beer Pass are only redeemable by the Member personally if the B’s Beer Pass is current. The staff of B’s GROUP is entitled to require the Member to produce identity documents to prove the personal identity of the Member during the redemption process.

(b) The B’s Beer Pass will not be accepted if the same : (i) has expired; (ii) is invalid, lost or stolen; (iii) is damaged or can not present valid B’s Beer Pass; (iv) does not carry the Member's signature; (v) has been altered, defaced, re-printed or re-embossed; (vi) has such other irregularities on the face of the card; or (vii) for any other reasons, rules and regulations which B’s GROUP outlets participating the B’s Rewards Program may impose from time to time.

 

4.3 B’s Beer Points are not transferable nor exchangeable for cash. Any B’s Beer Points accumulated under the Member's account will be forfeited if the Member fails to renew his/her B’s Beer Pass upon its expiry date. Without prejudice to the foregoing, any B’s Beer Points awarded to the Member which remains unredeemed after such period as B’s GROUP may prescribe from time to time will be forfeited and cannot be reinstated.

 

4.4 Redemption order for B’s Beer Points should be made to B’s GROUP in the prescribed manner as set out by B’s GROUP in its circular to the Member. The redemption order for any products or services are always subject to B’s GROUP’s approval and availability of the product(s) or service(s).

 

 

5. MEMBERSHIP LEGAL ORDINANCE

 

5.1 B’s GROUP Beer Pass Rewards Program ("B’s Rewards Program") is a customer loyalty co-brand program run by B’s GROUP LIMITED ("B’s GROUP") and is eligible to all customers of the restaurants ("B’s Restaurants") of B’s GROUP as listed in the Schedule annexed hereto. B’s GROUP reserves the right to change at any time and without prior notice the restaurants participating as B’s GROUP Restaurants.

 

5.2 During the continuation of B’s Rewards Program, the person ("Member") to whom B’s GROUP Membership Card ("B’s Beer Pass") is issued will be awarded one Beer Point under B’s Beer Pass account per HK$ 1 (or equivalent foreign currency) spent by the Member at any one of the B’s GROUP Restaurants. B’s GROUP reserves the right to change at any time and without prior notice the ratio between the Beer Points to be awarded and the spending at the B’s GROUP Restaurants.

 

5.3 B’s GROUP is entitled to charge a service charge of such amount as B’s GROUP sees fit upon the Member informing B’s GROUP that the Member intends to redeem his/her Beer Points.

 

5.4 B’s GROUP Beer Points awarded to the Member will be redeemable in such manner as set out in the circular dispatched to the Member periodically.

 

5.5 The Member shall immediately inform B’s GROUP once his/her B’s Beer Pass is discovered to be lost, stolen or damaged and followed up with written confirmation within 7 days from the notification date.

 

5.6 Charges for replacement of the lost, stolen or damaged B’s Beer Pass shall be of such sum or such number of the B’s Beer Points that may be determined by B’s GROUP at the material time. B’s GROUP reserve their right to reject the Member's request for replacement of any lost, stolen or damaged B’s Beer Pass.

 

5.7 Upon receipt of the Member's notification, B’s GROUP will invalidate the lost, stolen or damaged B’s Beer Pass within reasonable time without further notice to the Member. B’s GROUP disclaim their liabilities on any losses or damages (either directly or indirectly) that may be suffered by the Member arising from the invalidation of the B’s Beer Pass or any delay in canceling the B’s Beer Pass.

 

5.8 Subject to Clauses 15 to 17, B’s GROUP reserve the right to mail to the Member catalogues or other promotional literature relating to the B’s Rewards Program or such other projects, campaigns or promotions that may be carried out by B’s GROUP or their respective holding companies, subsidiaries, associates or related companies ("Catalogues").

 

5.9 The Member shall not hold B’s GROUP liable for any losses or damages (either directly or indirectly) that may be suffered by the Member arising from delay or non-receipt of the Catalogues.

 

5.10 Charges may be imposed on additional copy of the Catalogues requested by the Member.

 

5.11 (a) B’s GROUP may not act as the merchant or supplier of the products or services. Even if they do or any one of them does act as supplier, B’s GROUP will not give any warranties as to the quality and/or condition of such products or services. Accordingly, B’s GROUP will not be responsible for any damage or loss incurred by the Member arising out of the redemption, purchase, supply, installation, consumption, use or otherwise of the products or services or of any negligence, breach of statutory or other duty on the part of B’s GROUP. (b) To the full extent permitted by law, B’s GROUP disclaim any and all warranties, representations or statements given by any of the merchants and suppliers who participate in the B’s Rewards Program in relation to the condition of the merchant's or supplier's products, services, benefits or rewards. The Member shall waive all claims B’s GROUP in respect of any disputes or claims arising out of such warranties, representations or statements.

 

5.12 B’s GROUP make no representation or warranty on the ownership of intellectual or industrial property rights subsisting in any products under the B’s Rewards Program.

 

5.13 B’s GROUP is/are entitled at any time and without any prior notice or liability to the Member in any manner whatsoever to terminate the B’s Rewards Program or cancel or vary its benefits or features or vary, add to or delete any of these terms and conditions or withdraw or change the particulars of any merchants and suppliers participating in the B’s Rewards Program and/or the manner of their redemption even though any of such acts may diminish the value of the B’s Beer Points already accumulated.

 

5.14 In order to be eligible to become a Member, the Member must provide his/her personal particulars and data (consisting of the names, addresses, contact numbers and such other information of the Member that are required by B’s GROUP from time to time) ("Data"). The Data will be owned by B’s GROUP and the Member hereby irrevocably and unconditionally agrees that the Data shall be held in a database system managed by B’s GROUP ("the Database").

 

5.15 By acknowledging receipt or using of the B’s Beer Pass (whichever is earlier), the Member gives and shall be deemed to have given his/her consent to allow B’s GROUP to use, process, disclose, transfer or to deal with the Data for the lawful purposes of the business of B’s GROUP.

 

5.16 The Member shall immediately notify B’s GROUP in writing of any change of his/her Data whereupon B’s GROUP shall take all practicable steps to update the Database within a reasonable time. Provided that B’s GROUP shall not be liable for any losses or damages that may be suffered by the Member arising whether directly or indirectly from B’s GROUP’s delay or failure in up-dating the Database for any reasons whatsoever.

 

5.17 Under the terms of the Personal Data (Privacy) Ordinance (Cap.486), the Member has the right: (a) to check what data B’s GROUP hold about him/her and of access to such data; (b) to require B’s GROUP to correct any data relating to him/her which is inaccurate; (c) to ascertain the policies and practices of B’s GROUP in relation to the Data and to be informed of the kind of personal data held by B’s GROUP; and (d) to request B’s GROUP to cease using his/her personal data for the purpose of direct marketing at any time. Provided that the above requests shall be made by the Member in writing by registered post to B’s GROUP at their respective addresses mentioned in Clause 20 below. B’s GROUP have the right to charge a reasonable fee for processing of any data access request.

 

5.18 Without prejudice to the Member's statutory rights (including without limitation, rights under the Personal Data (Privacy) Ordinance (Cap.486)), in no event shall B’s GROUP be liable to any Member or any third party for any loss or injury or any special, direct, indirect, incidental, exemplary or consequential losses or damages whatsoever or howsoever caused under any cause of action arising directly or indirectly in connection with the B’s GROUP Rewards Program or the use of the B’s Beer Pass, including but not limited to the following :- (a) loss of use (whether in action of contract, negligence or other tortuous action) arising out of or in connection with the Member's use of the products or services redeemed under the B’s GROUP Rewards Program; (b) the Member's inability to use or enjoy the products or services under the B’s GROUP Rewards Program; (c) suspension, termination or cancellation of the B’s Beer Pass; (d) any delay in processing the application, renewal or replacement for the B’s Beer Pass; and/or (e) any losses or damages that may be suffered by the Member in relation to any amendments or variations to these terms and conditions or rules and conditions set by the merchants or suppliers who participate in the B’s GROUP Rewards Program.

 

5.19 Whilst all reasonable care is taken to ensure that the Catalogues, information, publications, advertisements and promotional materials supplied or provided in connection with the B’s Beer Pass is true and accurate, B’s GROUP shall not be held liable for any direct or indirect consequences arising from errors or omissions (including negligence) in such Catalogues, information, publications, advertisements and promotional materials, whether written or oral.

 

5.20 Any notice to be given to the Member shall be deemed to have been properly given if sent by prepaid post to the address recorded in the Database. Any notice to be given to B’s GROUP by the Member shall be deemed to have been properly given if sent by prepaid registered post to the following address :- To B’s GROUP : 23rd Floor, Chinaweal Centre, 414-424 Jaffe Road, Wanchai, Hong Kong

 

5.21 The Member shall indemnify and hold B’s GROUP harmless against any liability for loss, penalty, damage, costs and expenses (including but not limited to legal costs) which B’s GROUP may incur by reason of or arising directly or indirectly from any breach on the part of the Member in complying or observing these terms and conditions or in otherwise using of the B’s Beer Pass or recovery of any outstanding amounts due from the Member.

 

5.22 B’s GROUP shall be entitled jointly or severally at the time without the consent of or notice to the Member to assign or transfer whole or part of its rights and obligations in relation to the B’s Beer Pass and/or the B’s GROUP Rewards Program to any other third party.

 

5.23 These terms and conditions shall be construed and enforced in accordance with the laws of the Hong Kong Special Administrative Region, the People's Republic of China ("HKSAR") and the parties hereto irrevocably agree to submit to the non-exclusive jurisdiction of the courts of the HKSAR.
